Terms of Service

Welcome to Matka. These Terms govern your use of the Matka app and related services (the "Service"). The Service is operated by BERGPRO, LLC d/b/a Matka, a New Hampshire Limited Liability Company ("we", "us", "Matka") and provided to you ("you", "User"). By creating an account or using the Service, you agree to these Terms. If you don't agree, don't use the Service.
1. Who can use Matka
You must be at least 18 years old and a resident of the United States to use Matka. By using the Service, you confirm you meet both requirements.
If you're using Matka for business purposes (you're a gig driver — that's the whole point), you confirm you have the authority to enter these Terms on behalf of any business entity you operate.
2. What Matka does
Matka is a record-keeping and decision-support tool for self-employed gig drivers. It helps you:
- Log driving sessions, trips, expenses, and odometer readings
- Evaluate whether an offer is worth taking (GO / MAYBE / SKIP)
- Generate tax-ready reports and quarterly estimates
Matka is not:
- A bank, payment processor, or financial institution
- A tax preparer, accountant, CPA, or law firm
- An employer or contractor on any gig platform
- A real-time mileage tracker or GPS service
3. Your account
To use the Service, you'll create an account with your email and a password. You agree to:
- Provide accurate, current information when you sign up
- Keep your password secure and not share it with anyone
- Be responsible for everything that happens under your account
- Notify us at [email protected] if you suspect unauthorized access
You may have one personal account. Sharing accounts between multiple drivers is not permitted.
4. Acceptable use
You agree NOT to:
- Use the Service for any illegal purpose
- Reverse-engineer, decompile, or attempt to extract source code from the app
- Scrape, mass-export, or programmatically access the Service except through features we provide
- Resell, sublicense, or commercially redistribute the Service or its data
- Use the Service to harass, defraud, or harm others
- Upload malware, attempt to break our backend, or otherwise interfere with the Service
- Misrepresent your identity or impersonate someone else
We may suspend or terminate your account if you do any of the above.
5. Subscriptions and billing
Free tier
Matka's core features are free during the public beta and at launch. No credit card required. We may change the free tier feature set at launch, but we'll give you advance notice if we do.
Matka Plus (paid tier — coming soon)
Matka Plus is a paid subscription that unlocks additional features (bank sync, TurboTax handoff, and others). When Plus launches:
- Pricing will be $4.99/month or $39.99/year (subject to change with notice)
- Billing is handled through the Apple App Store (iOS) or Google Play (Android) using their standard subscription mechanisms
- Subscriptions auto-renew unless you cancel before the renewal date through your App Store / Google Play settings
- Refunds are handled by Apple or Google per their store policies — we cannot directly process refunds
Beta tester pricing — Founder discount
The first 100 users who join Matka during the public TestFlight / Play Store closed beta will receive a permanent 50% discount on Matka Plus. Founder pricing is $2.49/month or $19.99/year for the life of an active subscription. This discount is tied to your Matka account; if you cancel and resubscribe later, the founder rate still applies. We'll honor this commitment in writing.
Auto-renewal
Subscriptions automatically renew at the end of each billing period unless you cancel at least 24 hours before the renewal date through your App Store or Google Play subscription settings. Your account will be charged for renewal within 24 hours prior to the end of the current period at the rate you originally agreed to.
Cancellation
You can cancel anytime via your App Store or Google Play subscription settings. Access continues until the end of your current billing period. We don't pro-rate refunds for partial periods.
Apple App Store / Google Play
- Subscription billing, renewal, and refunds are handled by Apple and Google through your account on their respective stores.
- Refund requests must be submitted to Apple or Google. We don't have the ability to issue refunds directly.
- Your use of subscriptions purchased through the App Store is also subject to Apple's standard terms and to Google's standard terms on Google Play.
6. Tax disclaimer (please read)
Matka is a calculation and record-keeping tool, not tax advice.
- Matka helps you organize records and estimate tax obligations. It does not file your taxes.
- Calculations are based on the data you enter and standard IRS rules current as of the app version's release. Tax law changes; the app may not reflect the latest changes.
- Estimates are not guaranteed to be accurate. Your actual tax liability depends on your full financial situation, which Matka does not see.
- Always consult a qualified tax professional (CPA, enrolled agent, or tax attorney) before filing returns based on data from Matka.
- You are solely responsible for the accuracy of your tax filings.
- We are not liable for penalties, interest, audits, or other tax consequences that result from your use of the Service.
7. Driving decisions disclaimer
The GO / MAYBE / SKIP verdict is informational only.
- The verdict is calculated from numbers you enter using thresholds you set. It's a calculator, not advice.
- Whether to accept any specific offer is your decision. Many factors (safety, traffic, dispatcher relationships, batch potential) are not in the math.
- Do not interact with Matka while operating a vehicle. Pull over before logging or reviewing offers.
- We are not liable for income lost, opportunities missed, or any other consequences of decisions made using the Service.
8. Third-party platforms
Matka is not affiliated with DoorDash, Uber, Lyft, Instacart, Walmart Spark, Grubhub, Shipt, Amazon Flex, or any other gig platform. Mentions of these platforms in the app are descriptive — they identify which platform a trip or session was on.
We don't have a relationship with these companies. We don't get your earnings data from them; you enter it manually. If you have issues with a gig platform itself, contact them directly.
9. Your content and data
You own your data. The trips, expenses, receipts, and notes you create in Matka belong to you.
By using the Service, you grant us a limited, non-exclusive, royalty-free license to store, process, transmit, and display that data so we can provide the Service to you. This license ends when you delete your account.
You can export your data at any time via PDF tax reports and CSV exports built into the app. You can delete your account by emailing [email protected]. See the Privacy Policy for retention details.
10. Intellectual property
The Matka app, branding, code, design, and content (other than your data) are owned by BERGPRO, LLC d/b/a Matka and protected by copyright and trademark law. You get a limited, revocable, non-transferable license to use the Service for personal record-keeping. You may not:
- Copy, modify, or distribute the app or its assets
- Use Matka branding without written permission
- Use the Service to build a competing product
11. Termination
You can stop using Matka at any time. To delete your account, email [email protected].
We may suspend or terminate your account if:
- You violate these Terms
- You fail to pay subscription fees (when Plus launches)
- Required by law
- We discontinue the Service (with reasonable advance notice)
If we terminate for cause, we may delete your data immediately. If you delete your own account, we follow the retention timeline in the Privacy Policy.
12. Warranty disclaimers
The service is provided "as is" and "as available," without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, or accuracy of data.
We do not warrant that the service will be uninterrupted, error-free, or free of malicious code. We do not warrant that calculations, estimates, or verdicts will be accurate.
13. Limitation of liability
To the maximum extent permitted by law: we are not liable for indirect, incidental, consequential, special, or punitive damages, including lost profits, lost income, or lost data. Our total liability to you for any claim arising from or related to the service is limited to the greater of (a) $50 or (b) the amount you paid us in the 12 months before the claim.
Some jurisdictions don't allow these limits, so they may not apply to you.
14. Indemnification
You agree to defend, indemnify, and hold harmless BERGPRO, LLC d/b/a Matka from any claims, damages, costs, or expenses (including reasonable attorneys' fees) arising from:
- Your use of the Service
- Your violation of these Terms
- Your violation of any third party's rights
- Inaccurate information you provided
- Tax filings or financial decisions you made based on Matka's output
15. Governing law and disputes
These Terms are governed by the laws of the State of New Hampshire, without regard to its conflict-of-laws rules.
Any dispute that can't be resolved by emailing [email protected] will be resolved by binding arbitration in New Hampshire under the Commercial Arbitration Rules of the American Arbitration Association, EXCEPT that either party may bring a claim in small-claims court if eligible.
You and we both waive the right to a jury trial and the right to participate in a class action.
If any part of this section is found unenforceable, the rest still applies.
16. Changes to these Terms
We may update these Terms occasionally. If we make material changes, we'll update the "Last updated" date at the top and notify active users via in-app message or email. Continued use after a change means you accept the new Terms.
